1. Acceptance of Terms

By accessing or using LiftSign's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this service. These Terms constitute a legally binding agreement between you and LiftSign.

2. Description of Service

LiftSign provides an electronic signature platform that enables users to send, sign, and manage documents digitally. Our service includes document upload and storage, electronic signature capture and verification, document tracking and audit trails, template creation and management, and API access for integration with other applications. We reserve the right to modify, suspend, or discontinue any aspect of the service at any time.

3. User Accounts and Registration

To use certain features of our service, you must register for an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your password
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account and use our services.

4. Electronic Signatures

By using LiftSign, you acknowledge and agree that:

• Electronic signatures created through our platform are legally binding under the Electronic Signatures in Global and National Commerce Act (ESIGN), the Uniform Electronic Transactions Act (UETA), and eIDAS Regulation in the European Union
• You consent to conduct transactions electronically
• You have the authority to sign documents on behalf of yourself or your organization
• You will use the service only for lawful purposes
• You understand that electronic signatures have the same legal effect as handwritten signatures

5. Subscription and Billing

Paid subscriptions are billed in advance on a monthly or annual basis. By subscribing, you agree to:

• Pay all fees associated with your chosen plan
• Provide valid payment information
• Automatic renewal unless cancelled before the renewal date
• Price changes with 30 days notice

Refunds are handled on a case-by-case basis. You may cancel your subscription at any time, and cancellation will take effect at the end of the current billing period.

6. Intellectual Property Rights

The LiftSign platform, including its original content, features, and functionality, is owned by LiftSign and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You retain ownership of all documents you upload to our service. By uploading content, you grant us a limited license to process, store, and transmit your documents as necessary to provide the service.

7. Prohibited Activities

You agree not to:

• Use the service for any illegal purpose or to violate any laws
• Upload fraudulent, forged, or unauthorized documents
• Impersonate any person or entity
• Interfere with or disrupt the service or servers
• Attempt to gain unauthorized access to any part of the service
• Use automated systems to access the service without permission
• Transmit viruses, malware, or other harmful code
• Harvest or collect user information without consent

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIFTSIGN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless LiftSign and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, or expenses arising from your use of the service, violation of these Terms, or infringement of any third-party rights.

10. Termination

We may terminate or suspend your account and access to the service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason at our sole discretion. Upon termination, your right to use the service will cease immediately. You may request export of your data within 30 days of termination.

11. Dispute Resolution

Any disputes arising from these Terms or your use of the service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in San Francisco, California. You agree to waive any right to a jury trial or to participate in a class action.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the service after changes constitutes acceptance of the modified Terms.
